Preface

　　In the vineyard of legal research, comparative study claims a humble, but increasingly significant place. I feel fortunate being one of those able to harvest and taste the fruits of this field. Part of the outcomes of nearly two decades’ hard work has been a number of publications in international journals. This book collects twelve pieces of my comparative works published over a period ranging from 1998 to 2011. They are representatives of different stages of my legal research. Among them, one is on comparative methodology applicable in legal studies; eight focus on comparative corporate governance and corporate law; the rest concern topics of banking law, energy law and commercial arbitration.

前　言

　　蘇州大學居江南形勝之地，揖太湖而倚虎丘，承東吳衣缽，聚四海賢才，向有淹貫東西之治學傳統。逢法學院鼓勵博士生導師出版論文系列叢書，遂將近年部分英文發表整理成冊，名為Comparative Studies: Corporate Governance, Securities Regulation, Banking Law and Energy Law in China《中國大陸公司、證券、銀行和能源法的比較研究》。
　　本文集共選錄論文十二篇，公司和證券法論文占主要篇幅。首篇論文探討比較研究方法在法學，特別是在公司法研究中的運用，該論文發表於2004年澳大利亞公司法教師年會（Corporate Law Teachers’ Annual Conference）。其後八篇比較分析公司發展、公司治理、證券市場發展及規範，其中七篇發表於美國和澳大利亞的法律學術刊物，一篇摘自我的博士畢業論文。第十篇論文介紹中國大陸銀行法改革，考慮到目前的銀行法改革勢必會影響到公司、證券領域，又正值金融危機時期，所以加以收錄。第十一篇是發表在湯姆森•路透公司（Thomson Reuter）法律學術刊物上的探討中國能源法發展的一篇論文。在多篇公司、證券論文之後，特別收錄一篇能源法的文章的原因在於：在21世紀的中國，能源將成為重中之重的問題，也應是法律學人重點關心的課題。目前，大陸對能源法的研究方興未艾，將該篇收錄，意在引起讀者對能源法發展的關注。最後一篇是關於商務仲裁的比較討論，該論文發表於2001年的中澳糾紛解決機制及法制研討會（Dispute Resolution and the Rule of Law, A Sino-Australian Seminar）。愚以為有關糾紛解決的討論恰適合用來做全集的收尾。
